These Terms of Use (“Terms”) govern your access to and use of the ImpactMax website, platform, applications and related services (collectively, the “Platform”).

By accessing or using ImpactMax, connecting a digital wallet, submitting a cause, participating in a campaign, interacting with a token or otherwise using the Platform, you agree to these Terms.

If you do not agree with these Terms, you should not use the Platform.

1. About ImpactMax

ImpactMax is a social impact infrastructure platform designed to help transform community attention into measurable real-world impact.

The Platform may enable users, creators, communities, organizations and other participants to discover, propose, support and follow causes and impact initiatives.

Depending on the initiative, ImpactMax may display information relating to causes, beneficiaries, campaigns, digital assets, tokens, wallet activity, blockchain transactions, contribution activity and reported impact.

ImpactMax may also provide links or interfaces through which users can interact with third-party platforms, blockchain networks, smart contracts, decentralized applications or other services.

Unless expressly stated otherwise for a specific initiative, ImpactMax does not itself guarantee that any campaign, beneficiary, creator, organization or initiative will achieve its stated objectives.

2. Eligibility

You must be at least 18 years old and legally capable of entering into a binding agreement to use ImpactMax.

You are responsible for ensuring that your use of the Platform is lawful in your jurisdiction.

You must not use ImpactMax if applicable law, regulation, sanctions or other restrictions prohibit you from accessing or participating in the relevant services.

3. Wallets and Blockchain Interactions

Certain features may require you to connect a compatible digital wallet.

You are solely responsible for:

  • maintaining control and security of your wallet and private keys.
  • reviewing transactions before signing them.
  • maintaining sufficient network fees.
  • ensuring that the wallet and blockchain network you use are compatible with the relevant transaction; and.
  • all transactions authorized through your wallet.

ImpactMax does not control your private keys and cannot recover lost wallets, reverse blockchain transactions or recover assets transferred to an incorrect address.

Blockchain transactions may be irreversible.

4. Causes and Campaigns

ImpactMax may allow individuals, communities, creators or organizations to propose or create causes and campaigns.

Information displayed for a campaign may include its purpose, location, intended beneficiary, funding target, supporting information, creator, token, smart contract, contribution activity, verification status and intended impact.

Campaign information may originate from campaign creators, community members, beneficiaries, third parties, public sources or blockchain data.

ImpactMax may review, moderate, verify, reject, suspend or remove campaigns at its discretion. However, the presence of a campaign on ImpactMax does not constitute an endorsement, certification or guarantee by ImpactMax.

5. Verification Status

ImpactMax may use labels or statuses indicating the level of verification or development of a campaign.

Users should carefully review the verification status and supporting information associated with a campaign before participating.

A campaign identified as community proposed, under review, pending verification or similar should not be interpreted as having an official relationship with the stated beneficiary.

Even where a campaign or beneficiary is identified as verified, verification does not guarantee future performance, delivery, financial outcome or achievement of the intended impact.

6. Contributions and Digital Assets

Campaigns may involve contributions, tokens, digital assets, creator fees, community participation or other blockchain-based mechanisms.

The specific structure may vary between campaigns.

Acquiring, holding, transferring or interacting with a token or digital asset involves significant risk. Digital assets may experience extreme price volatility and may lose some or all of their value.

Participation in a token or campaign does not necessarily represent a donation directly to the stated beneficiary.

Users must review the applicable campaign information and transaction structure to understand how funds, fees or other economic benefits are intended to reach the relevant cause or beneficiary.

7. No Investment Advice

Nothing available through ImpactMax constitutes investment, financial, legal, tax or other professional advice.

Information displayed on the Platform is provided for informational and community participation purposes.

ImpactMax does not recommend that users purchase, sell or hold any particular token or digital asset.

You are solely responsible for evaluating whether any transaction or participation is appropriate for you.

8. No Guarantee of Impact

ImpactMax aims to improve transparency around social impact initiatives, but real-world impact depends on many parties and circumstances outside ImpactMax’s control.

ImpactMax does not guarantee:

  • that a campaign will reach its target.
  • that a beneficiary will accept or receive funds.
  • that a proposed partnership will be completed.
  • that creator or protocol fees will reach an intended beneficiary.
  • that an initiative will achieve its stated impact.
  • the accuracy of future impact projections; or.
  • the market value or liquidity of any associated token.

Where an intended beneficiary, partnership or fee destination has not been formally confirmed, ImpactMax may disclose that status on the relevant campaign page.

9. Campaign Creator Responsibilities

If you submit a cause or campaign, you represent that information you provide is accurate to the best of your knowledge and that you have the right to provide and publish that information.

You must not:

  • impersonate a beneficiary or organization.
  • falsely claim an official partnership.
  • submit fraudulent or misleading information.
  • misrepresent how funds or fees will be used.
  • infringe intellectual property or privacy rights.
  • use ImpactMax for unlawful fundraising or financial activity; or.
  • manipulate campaign statistics or community activity.

ImpactMax may request additional information or evidence before or after publishing a campaign.

10. Third-Party Services

ImpactMax may integrate with or link to third-party websites, blockchain networks, wallets, exchanges, decentralized protocols, explorers, social platforms and other services.

Those services are operated independently from ImpactMax.

Your use of third-party services is governed by their respective terms and policies.

ImpactMax is not responsible for the availability, security, accuracy, performance or actions of third-party services.

11. Smart Contract and Blockchain Risks

Blockchain technology and smart contracts involve inherent risks, including:

  • software vulnerabilities.
  • smart contract bugs or exploits.
  • network congestion.
  • blockchain reorganizations.
  • transaction failures.
  • malicious tokens.
  • wallet compromise.
  • protocol failures.
  • bridge or infrastructure failures.
  • regulatory changes; and.
  • loss of digital assets.

You acknowledge and accept these risks when interacting with blockchain functionality.

12. Platform Information

ImpactMax may obtain blockchain statistics, token activity, wallet information and other data from blockchain networks or third-party data providers.

Although we aim to provide accurate information, data may be delayed, incomplete or incorrect.

Blockchain records should be treated as the authoritative source for blockchain transactions.

13. Prohibited Use

You may not use ImpactMax to:

  • violate applicable laws or regulations.
  • commit fraud or misrepresentation.
  • launder money or finance illegal activity.
  • evade sanctions.
  • exploit or attack the Platform.
  • distribute malicious software.
  • manipulate campaigns or Platform statistics.
  • impersonate another person or organization.
  • interfere with Platform operation; or.
  • engage in any activity that may harm ImpactMax, its users, campaigns or beneficiaries.

14. Intellectual Property

Unless otherwise stated, the ImpactMax name, branding, Platform design, software and original Platform content are owned by or licensed to the operator of ImpactMax.

Campaign creators retain rights to content they submit, subject to granting ImpactMax a worldwide, non-exclusive, royalty-free license to host, display, reproduce and distribute that content for operating and promoting the Platform and relevant campaigns.

15. Suspension and Removal

ImpactMax may suspend access, restrict functionality or remove campaigns or content where we reasonably believe there is fraud, misrepresentation, unlawful activity, security risk, intellectual property infringement, abuse or violation of these Terms.

16. Disclaimers

The Platform is provided on an “as is” and “as available” basis.

To the maximum extent permitted by law, ImpactMax makes no warranties regarding uninterrupted availability, accuracy, reliability, fitness for a particular purpose, campaign success, beneficiary performance, token value or achievement of intended impact.

17. Limitation of Liability

To the maximum extent permitted by applicable law, ImpactMax and its operators, affiliates, directors, employees, contributors and service providers will not be liable for indirect, incidental, special, consequential or punitive damages arising from use of the Platform.

This includes losses resulting from digital asset price movements, blockchain transactions, wallet compromise, smart contract failures, third-party services, campaign failure, inaccurate information or actions of campaign creators or beneficiaries.

You use blockchain and digital asset functionality at your own risk.

18. Changes to the Platform

ImpactMax may modify, suspend or discontinue any portion of the Platform at any time.

Features, campaign structures, supported networks and participation mechanisms may change as the Platform develops.

19. Changes to These Terms

We may update these Terms periodically.

The updated version will be published on the Platform with a revised “Last Updated” date.

Continued use of ImpactMax following an update constitutes acceptance of the revised Terms where permitted by applicable law.

20. Governing Law

These Terms will be governed by the laws applicable to the legal entity operating ImpactMax, as identified in the Platform’s legal information.

Any disputes will be subject to the jurisdiction specified by that operating entity.
